Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and DeeRef Labs Private Limited (“Company”, “we”, “us”, or “our”), a company incorporated under the laws of India, operating the FlowVerify electronic signature platform. By creating an account, accessing, or using FlowVerify (the “Service”), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

• “Service” refers to the FlowVerify platform, including the website (www.flowverify.co), the application (app.flowverify.co), APIs, and all related services.
• “Envelope” means a single send-for-signature transaction, consisting of one or more documents sent to one or more recipients for electronic signing.
• “User Content” means any documents, files, data, or information uploaded to or created within the Service by you.
• “Signer” means any person who receives a signature request and signs a document through the Service.
• “Credits” means FlowVerify Credits, a virtual currency used for Aadhaar eSign and SMS services within the platform.
• “Plan” means the subscription tier selected by the User (Free, Pro, Business, Business Plus, or Enterprise).

3. Description of Service

FlowVerify is an electronic signature platform that enables users to:

• Upload documents and add electronic signature fields
• Send documents to recipients for electronic signing
• Sign documents using FlowVerify Digital Signature Certificates, Aadhaar eSign (OTP-based), or user-provided PFX certificates
• Create and manage reusable document templates
• Send documents in bulk to multiple recipients
• Track document status and signing progress in real-time
• Generate tamper-proof audit trails and completion certificates
• Manage contacts and team members
• Integrate with cloud storage providers (Google Drive, OneDrive, Dropbox)

4. Account Registration & Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept all responsibility for activities that occur under your account
• Immediately notify us of any unauthorized use of your account

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion if we determine that any information provided is inaccurate, or if you violate these Terms.

5. Subscription Plans, Billing & Payments

FlowVerify offers multiple subscription plans (Free, Pro, Business, Business Plus, Enterprise) with varying features and limits. By subscribing to a paid plan:

• You authorize us to charge the applicable subscription fee to your chosen payment method on a recurring basis (monthly or annual, depending on your selection).
• All prices are displayed in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise.
• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Plan upgrades take effect immediately, and you will be charged the prorated difference for the remaining billing period.
• Plan downgrades take effect at the start of your next billing cycle. You will retain access to your current plan's features until then.
• We reserve the right to modify pricing with 30 days' notice. Existing subscribers will be notified before any price change applies to their account.

Payments are processed through Razorpay. By making a payment, you also agree to Razorpay's terms of service.

6. Free Plan Terms

The Free plan is available at no cost and includes 10 envelopes per month. The Free plan is subject to fair use and may be modified or discontinued with 30 days' notice. Unused envelopes do not roll over to the next month. The Free plan is intended for individual and small-scale use; automated or systematic use of the Free plan to circumvent paid plan limits is prohibited.

7. Credits System

FlowVerify Credits are used for Aadhaar eSign and SMS services:

• 1 Credit = ₹1 (Indian Rupee)
• Aadhaar eSign: 20 credits per successful signature
• SMS OTP / Alert SMS: 1 credit per message
• Credits can be purchased on paid plans (Business and above)
• Purchased credits never expire while your account is active
• Credits are non-refundable and non-transferable
• Upon account deletion, unused credits are forfeited

8. Refund Policy

All sales are final. We do not offer refunds on subscription payments or credit purchases. You may cancel your subscription at any time, and your plan will remain active until the end of the current billing cycle. For full details, please refer to our Refund Policy.

9. Acceptable Use Policy

You agree not to use the Service to:

• Upload, send, or process documents that are illegal, fraudulent, defamatory, obscene, or that violate any law or regulation.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Forge, alter, or manipulate any electronic signatures, audit trails, or certificates generated by the Service.
• Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks.
• Transmit malware, viruses, or any code of a destructive nature.
• Use the Service for spamming, phishing, or unsolicited bulk communications.
• Violate any intellectual property rights of third parties.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
• Use automated tools (bots, scrapers, etc.) to access or interact with the Service without our written consent.
• Circumvent usage limits, billing mechanisms, or security measures of the Service.
• Use the Service in any manner that could damage, disable, overburden, or impair its functioning.

10. Intellectual Property Rights

The Service, including its design, code, features, content, trademarks, logos, and documentation, is the exclusive property of DeeRef Labs Private Limited and is protected by Indian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your subscription period. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our prior written consent.

11. User Content & Document Ownership

You retain all rights to the documents and content you upload to the Service. By uploading User Content, you grant us a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Service. We do not:

• Claim ownership of your documents or content
• Use your content for any purpose other than providing the Service
• Share your content with third parties except as necessary to provide the Service or as described in our Privacy Policy
• Use your content for training AI models or machine learning

12. Electronic Signature Legal Validity

Electronic signatures created through FlowVerify are intended to be legally binding. However:

• In India, electronic signatures via FlowVerify comply with the Information Technology Act 2000 and are recognized for electronic records.
• Aadhaar eSign signatures are valid under Section 3A of the IT Act 2000.
• Legal validity may vary by jurisdiction, document type, and applicable laws. Certain documents (e.g., wills, trusts, powers of attorney, real estate deeds) may have specific requirements that electronic signatures may not satisfy in all jurisdictions.
• We strongly recommend consulting legal counsel if you have questions about the enforceability of electronic signatures for your specific use case.
• FlowVerify provides the technology platform but does not provide legal advice regarding the validity of signatures.

13. Aadhaar eSign Terms

The Aadhaar eSign feature is governed by additional terms:

• Aadhaar eSign is available only for signers with a valid Indian Aadhaar number linked to an active mobile number.
• The service is provided through an authorized eSign service provider in compliance with CCA (Controller of Certifying Authorities) guidelines.
• FlowVerify does not store Aadhaar numbers or biometric data. Aadhaar data is transmitted directly to the eSign provider for verification.
• Signer consent is obtained before initiating the Aadhaar eSign process.
• Aadhaar eSign transactions are subject to credit-based pricing as defined in your subscription plan.
• Service availability depends on the eSign service provider and UIDAI infrastructure. We do not guarantee uninterrupted availability of the Aadhaar eSign service.

14. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

15. Third-Party Integrations & Services

The Service integrates with third-party services including Google Drive, OneDrive, Dropbox, Google OAuth, Microsoft OAuth, Razorpay, and Aadhaar eSign providers. Your use of these integrations is subject to the respective third-party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. You authorize FlowVerify to access your third-party accounts solely to provide the requested integration functionality.

16. Service Availability & Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or to address security concerns. We will make reasonable efforts to notify users in advance of planned downtime. For Enterprise customers, service level agreements (SLAs) may be negotiated separately.

17. Limitation of Liability

To the maximum extent permitted by applicable law, DeeRef Labs Private Limited and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service. Our total aggregate liability for all claims arising from or related to the Service shall not exceed the total fees paid by you to FlowVerify during the twelve (12) months immediately preceding the event giving rise to the claim.

18. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free. FlowVerify does not warrant the accuracy, completeness, or reliability of any content obtained through the Service. We do not provide legal advice, and you should consult a qualified attorney regarding the legal enforceability of electronic signatures in your jurisdiction.

19. Indemnification

You agree to indemnify, defend, and hold harmless DeeRef Labs Private Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any User Content you upload or transmit through the Service; or (e) your negligent or wrongful conduct.

20. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be resolved as follows:

• Informal Resolution: You and FlowVerify will first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.
• Arbitration: If informal resolution fails, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Bengaluru, Karnataka, India.
• Jurisdiction: Subject to the arbitration clause above, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction.

21. Termination & Suspension

• By You: You may close your account at any time through your account settings or by contacting us. Paid subscriptions will remain active until the end of the current billing cycle.
• By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any reason at our discretion with 30 days' notice for accounts in good standing.
• Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may retain your data for the period specified in our Privacy Policy. You may request export of your data before account closure.

22. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms.

23. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

24. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and DeeRef Labs Private Limited regarding the use of FlowVerify.
